DERBY DREAMING LLC Objective: Purchase a colt(s) in late 2010 to win the 2011 Kentucky Derby

1. Investors

1.1. Smaller than a normal WPT deal

1.2. $50k min/$500 max cimmittment

1.3. $1.0 to $2.5 million expected capitilization

1.4. Funds due 48 hours after each purchase

1.5. Initial call will be for horse and six months expenses

2. Manager: West Point Thoroughbreds will manage the horse selection process and the day to day operations of the company

3. Trainer

3.1. We will utilize the WPT network to place the colt with a trainer best suited to achieve our goal

4. Manager Compensation

4.1. 10% Commission on gross purchase

4.2. 5% of gross earnings

4.3. 10% Commission on gross sale (if sold for a profit)

5. Selection Criteria

5.1. Colt

5.2. Legitimate two turn pedigree and confirmation

5.3. Started at least once

5.4. Satisfactory vet exam

5.5. Vote by Members for purchases over $500k

6. Selection team

6.1. Terry Finley

6.2. Buzz Chace

6.4. Various "private sale" agents
